Definitions

"Service" refers to The Chord Companion web application, accessible at thechordcompanion.com and related domains.

"We," "Us," "Our" refers to The Chord Companion and its operators.

"You," "Your" refers to the user or viewer of our Service.

"Content" refers to chord progressions, songs, and other materials created or shared on the Service.

1. Acceptance of Terms

By accessing or using The Chord Companion ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and The Chord Companion. By creating an account, accessing any part of the Service, or using any functionality, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Age Requirement: You must be at least 13 years old to use this Service. By using the Service, you represent and warrant that you are at least 13 years of age. If you are under 18, you represent that you have your parent or guardian's permission to use the Service.

2. Account Registration

To access certain features of the Service, you may be required to create an account. When you create an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept all responsibility for any activity that occurs under your account
  • Notify us immediately of any unauthorized use of your account

One Account Per Person: You may only create one account per person. Creating multiple accounts to circumvent trial limitations or other restrictions is prohibited and may result in termination of all accounts.

You are responsible for all activities that occur under your account, whether or not you authorized such activities. We are not liable for any loss or damage arising from your failure to maintain the security of your account.

3. Subscription and Payments

3.1 Subscription Plans

The Chord Companion offers the following subscription options:

  • Free Trial: 7 days or 3 saved songs (whichever limit is reached first)
  • Pro Monthly: $4.99 per month, auto-renews monthly
  • Lifetime: $49.99 one-time payment, lifetime access

3.2 Billing and Auto-Renewal

Monthly subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You will be charged the then-current subscription rate at the beginning of each billing period.

Payment processing is handled securely through Stripe. We do not store your credit card information.

3.3 Cancellation Policy

You may cancel your subscription at any time through your account settings or by contacting support at hello@thechordcompanion.com. Upon cancellation:

  • You will retain access to Pro features until the end of your current billing period
  • No refund will be issued for partial months
  • Your account will automatically revert to the free tier at the end of the billing period

3.4 Refund Policy

We offer a 7-day money-back guarantee for all subscriptions:

  • Request a refund within 7 days of your initial purchase
  • Contact support at hello@thechordcompanion.com with your account email
  • Refunds are processed within 5-10 business days
  • This guarantee applies to first-time purchases only

Lifetime subscriptions: Eligible for refund within 7 days of purchase. After 7 days, all sales are final.

3.5 Price Changes

We reserve the right to change our subscription prices at any time. Price changes will not affect your current subscription until renewal. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.

3.6 Failed Payments

If a payment fails, we will attempt to process payment again. If payment continues to fail, your account may be downgraded to the free tier and access to Pro features will be suspended. We will notify you via email before any downgrade occurs.

4. User-Generated Content

4.1 Ownership

You retain all ownership rights to chord progressions, songs, and other content you create using the Service ("User Content"). We do not claim ownership of your User Content.

4.2 License to Us

By creating or sharing content on the Service, you grant us a worldwide, non-exclusive, royalty-free license to:

  • Host, store, and display your User Content on the Service
  • Make your shared content accessible to other users (if you choose to share)
  • Create backups and technical copies necessary to provide the Service
  • Use aggregated, anonymized data for analytics and service improvement

This license terminates when you delete your content or account, except for content you have publicly shared which may remain accessible to users who saved or favorited it.

4.3 Prohibited Content

You agree not to upload, post, or share content that:

  • Infringes on any copyright, trademark, or other intellectual property rights
  • Contains explicit copyrighted song lyrics or melodies without permission
  • Is offensive, defamatory, threatening, or harassing
  • Contains spam, advertising, or promotional content
  • Contains malware, viruses, or malicious code
  • Violates any applicable law or regulation

4.4 Content Moderation

We reserve the right to review, monitor, and remove any User Content that violates these Terms or that we deem inappropriate for any reason, with or without notice. However, we are not obligated to monitor User Content and do not assume responsibility for content posted by users.

4.5 Sharing and Privacy

When you mark a chord progression as "public" or "shared," other users will be able to view and save that progression. You control the privacy settings of your content and can change them at any time.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Reverse Engineer: Decompile, disassemble, or reverse engineer any part of the Service
  • Scraping: Use automated means to scrape, crawl, or harvest content from the Service
  • Unauthorized Access: Attempt to gain unauthorized access to any part of the Service, other accounts, or systems
  • Interfere: Interfere with or disrupt the Service or servers/networks connected to the Service
  • Circumvent: Bypass any measures we implement to prevent or restrict access to the Service
  • Impersonate: Impersonate any person or entity or falsely state or misrepresent your affiliation
  • Sell/Transfer: Sell, rent, lease, or transfer your account to another party
  • Automated Accounts: Create accounts through automated means or under false pretenses

6.2 Security

You may not attempt to probe, scan, or test the vulnerability of the Service or breach security or authentication measures. Any unauthorized access or security breach may be referred to law enforcement.

7. Limitation of Liability

7.1 "As Is" Provision

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.2 No Warranty

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • The results from using the Service will be accurate or reliable
  • The quality of any products, services, or content will meet your expectations
  • Any errors in the Service will be corrected

7.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE CHORD COMPANION, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

7.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

8. Termination

8.1 Termination by You

You may terminate your account at any time by:

  • Deleting your account through account settings
  • Contacting support at hello@thechordcompanion.com

Upon termination, you will lose access to all Pro features immediately, but can continue using the free tier.

8.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including:

  • Breach of these Terms
  • Fraudulent, abusive, or illegal activity
  • Extended periods of inactivity
  • At our sole discretion for any reason

8.3 Effect of Termination

Upon termination of your account:

  • Your access to the Service will be revoked immediately
  • Your User Content may be deleted after 30 days
  • We are not obligated to maintain or provide copies of your content
  • Publicly shared content may remain accessible to users who saved it
  • All provisions that should survive termination will remain in effect

8.4 Data Export

Before deleting your account, you may export your saved progressions through the account settings. After account deletion, we cannot recover your data.

9. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of material changes by:

  • Posting the updated Terms on this page
  • Updating the "Last Modified" date at the top of this page
  • Sending an email notification for significant changes (if you have an account)
  • Displaying a prominent notice on the Service

For material changes, we will provide at least 30 days' notice before the new terms take effect. Your continued use of the Service after any changes constitute acceptance of those changes.

If you do not agree to the modified Terms, you must stop using the Service and may terminate your account.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in the United States, and you hereby consent to personal jurisdiction and venue therein.

Dispute Resolution: For any dispute you have with us, you agree to first contact us at legal@thechordcompanion.com and attempt to resolve the dispute informally. If a dispute is not resolved within 30 days, either party may pursue formal proceedings.

Additional Provisions

Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and The Chord Companion regarding the Service and supersede all prior agreements.

Assignment

You may not assign or transfer these Terms or your account to any third party without our written consent. We may assign our rights and obligations under these Terms without restriction.
